LUXICONAI — BETA ACCESS TERMS These Beta Access Terms govern your temporary access to the LuxiconAI beta platform (the "Beta") made available by Blacktie Labs (Geneva) SA, Rue du Stand 40, 1204 Geneva, Switzerland, company number CHE-404.607.172 ("Company," "we," "us," or "our"). By proceeding, accessing, viewing, or using the Beta, you agree to these Beta Access Terms. 1. NATURE OF ACCESS Your access to the Beta is temporary, private, and provided for evaluation and discussion purposes only. The Beta is a pre-release version of the LuxiconAI platform and may include features, outputs, and behaviour that are incomplete or still under development. It is not a final or production release, and your access does not grant rights to the full or generally available product. 2. NO OBLIGATION TO PROVIDE PLATFORM ACCESS Your access to the Beta does not entitle you to any further access, license, commercial relationship, feature availability, continued beta participation, or future product rights. We may grant, deny, limit, suspend, or withdraw access at any time, with or without notice. 3. CONFIDENTIALITY All materials, information, visuals, concepts, documentation, models, workflows, architecture descriptions, screenshots, product logic, system reasoning, outputs, and related content made available through the Beta are confidential and proprietary to the Company unless expressly stated otherwise. You agree: (a) to keep all such information strictly confidential; (b) not to disclose it to any third party without our prior written consent; (c) not to copy, reproduce, publish, distribute, circulate, transmit, display, summarize, reverse engineer, decompile, extract, or otherwise use it except for your own internal evaluation of LuxiconAI; (d) not to use it to build, support, benchmark, train, improve, or advise any competing or similar product, service, workflow, model, or offering; and (e) to protect it using at least a reasonable standard of care, and in any event no less than the care you use for your own confidential information. 4. OWNERSHIP All rights, title, and interest in and to LuxiconAI, the Beta, and all related materials remain exclusively with the Company or its licensors. No intellectual property rights are transferred or licensed to you except for the limited, revocable right to access the Beta in accordance with these Beta Access Terms. 5. RESTRICTIONS ON USE You may not: (a) share credentials, links, captured content, or access paths with any other person; (b) record, scrape, download, harvest, mirror, or systematically store the Beta or any part of it, except for incidental browser caching; (c) test, probe, attack, interfere with, or attempt to circumvent any security, access control, usage limit, watermark, or technical restriction; (d) misrepresent the Beta as a live production platform, validated system, or commercially available product; (e) rely on the Beta as a promise of functionality, roadmap delivery, performance, accuracy, availability, or future release. 6. BETA AND FORWARD-LOOKING NATURE The Beta may describe or contain features, components, workflows, simulations, outputs, methodologies, or system states that are incomplete, under development, provisional, illustrative, experimental, subject to change, or not yet deployed. References to architecture, outputs, personas, simulations, reasoning layers, future capabilities, or product direction are informational only and do not constitute a representation that such features are fully operational, validated, or available. 7. NO REPRESENTATIONS OR WARRANTIES The Beta is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, the Company disclaims all representations and warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, performance, availability, or suitability for any purpose. We do not warrant that: (a) the Beta is complete, accurate, error-free, or current; (b) any part of LuxiconAI will be made available generally or at all; (c) any architecture, output, simulation, or description shown will perform as described in practice; or (d) access will be uninterrupted, secure, or free from defects. 8. NO RELIANCE You agree not to rely on the Beta as the basis for investment, commercial, technical, legal, regulatory, or operational decisions. Any use of, or reliance on, information made available through the Beta is at your own risk. 9. RESERVATION OF RIGHTS We reserve the right, at any time and without liability, to modify, restrict, suspend, monitor, revoke, or terminate access to the Beta or any part of it, and to update these Beta Access Terms. Continued access after any update constitutes acceptance of the revised terms. 10. COMPLIANCE WITH LAW You may access and use the Beta only in compliance with applicable laws and regulations. You are responsible for ensuring that your access and use are lawful in any jurisdiction relevant to you. 11. REMEDIES You acknowledge that unauthorized disclosure or misuse of the Beta or any confidential information may cause irreparable harm to the Company for which monetary damages may be inadequate. Accordingly, the Company shall be entitled to seek injunctive relief, equitable relief, and any other remedies available at law or in equity. 12. LIMITATION OF LIABILITY To the maximum extent permitted by law, the Company and its affiliates, directors, officers, employees, contractors, advisers, licensors, and representatives shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, business, opportunity, goodwill, data, or anticipated savings, arising out of or relating to the Beta or these Beta Access Terms, even if advised of the possibility of such damages. To the maximum extent permitted by law, the aggregate liability of the Company arising out of or relating to the Beta or these Beta Access Terms shall not exceed US$100. 13. GOVERNING LAW These Beta Access Terms, and any dispute, claim, or controversy arising out of or relating to them or the Beta, shall be governed by and construed in accordance with the laws of the State of New York, USA, without regard to its conflict of laws principles. 14. JURISDICTION AND VENUE Any dispute, claim, or controversy arising out of or relating to these Beta Access Terms or the Beta shall be brought exclusively in the state or federal courts located in New York County, New York, USA, and each party irrevocably submits to the exclusive jurisdiction of those courts and waives any objection based on forum non conveniens or improper venue. 15. SEVERABILITY If any provision of these Beta Access Terms is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. 16. ENTIRE AGREEMENT These Beta Access Terms constitute the entire agreement between you and the Company with respect to the Beta and supersede any prior or contemporaneous understandings relating to it, except to the extent a separate written confidentiality or access agreement applies between you and the Company, in which case that agreement shall control in the event of conflict. 17.
